1. Introduction

1.1 Contract

If you use our services, you agree to all of these terms. Use of our services is also governed by our cookie policy and privacy policy, which govern how we collect, use, share and store your personal data.

You agree that by clicking „Join Now“, „Join TRADEFOOX“, „Sign Up“ or similar, registering for, accessing or using our services (described below), you are entering into a legally binding contract with TRADEFOOX (even if you use our services on behalf of a company). If you do not agree to this agreement (“Agreement” or “User Agreement”), do not click “Join Now,” “Join TRADEFOOX,” “Log In”, or similar or access or otherwise use our services. If you wish to terminate this Agreement, you may do so at any time by closing your account and no longer accessing or using our services.

Services

This agreement applies to tradefoox.com, TRADEFOOX-branded apps, and other TRADEFOOX-related websites, apps, communications, and other services that state they are offered under this agreement ('Services'), including external data collection for these services such as our advertisements and the 'Apply with TRADEFOOX' and 'Share with TRADEFOOX' plugins. Registered users of our services are 'Members' and unregistered users are 'Visitors'.

TRADEFOOX

You are entering into this agreement with TRADEFOOX (also referred to as “we” and “us”).

We use the term “designated countries” to refer to countries in the European Union (EU), the European Economic Area (EEA) and Switzerland.

If you are a resident of the “designated countries”, you are entering into this agreement with TRADEFOOX Germany and TRADEFOOX Germany is the controller of your personal data provided to you, collected by or for you or processed in connection with our services.

If you are located outside of the “designated countries”, you are entering into this agreement with TRADEFOOX Corporation (“TRADEFOOX Corp.”) and TRADEFOOX Corp. is the controller of your personal data provided to you, collected by you or for you or processed in connection with our services.

This Agreement applies to members and visitors.

As a visitor or member of our services, the collection, use and disclosure of your personal information is subject to this cookie policy (including our privacy policy and other documents referenced in this privacy policy) and updates.

1.2 Members and Visitors

When you register and join the TRADEFOOX services, you become a member. If you have chosen not to register for our services, you may access certain features as a “Visitor.”

1.3 Changes

We may make changes to the contract.

We may change this Agreement, our cookie policy and our privacy policy from time to time. If we make any material changes, we will notify you through our services or by other means to give you an opportunity to review the changes before they take effect. We agree that changes cannot be retroactive. If you object to the changes, you can close your account. Your continued use of our services after we post or provide notice of our changes to these terms will mean that you agree to the updated terms as of their effective date.

2. Duties

2.1 Service Authorization

You have the right to enter into this contract and you have reached at least our “minimum age”.

The services may not be used by persons under 16 years of age.

To use the services, you agree that: (1) you are of “minimum age” (described below) or older; (2) you only have one TRADEFOOX account, which must be in your real name; and (3) TRADEFOOX does not already prevent you from using the services. Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or anyone under 16 years of age.

“Minimum age” means 16 years. However, if the law requires that you have to be older in order for TRADEFOOX to lawfully provide the services to you (including using your personal information) without parental consent, then the minimum age will be the older age.

2.2 Your Account

You will keep your password secret.

You will not share your account with others and will follow our rules and the law.

Members are account holders. You agree to: (1) use a strong password and keep it confidential; (2) not to share any part of your account (e.g. connections), and (3) to comply with the law and our list of codes of conduct and professional community guidelines. You are responsible for everything that happens through your account unless it has already been closed by you or it has already been registered with us under the “Report Abuse” section.

As between you and others (including your employer), your account is yours. However, if the services were purchased by another party for your use (e.g. a recruiter seat purchased by your employer), the party that pais the service has the right to control access to that paid service and to receive reports about your use of that paid service. However, this does not create any rights to your personal account.

2.3 Payment

You comply with your payment obligations and agree that we store your payment information. You understand that fees and taxes may be added to our prices.

Refunds are subject to our policies.

If you purchase one of our paid services (“Premium Services”), you agree to pay us applicable fees and taxes, as well as additional terms and conditions specific to the paid services. Failure to pay these fees will result in termination of your paid services. You also agree to the following:

Your purchase/sale may be subject to exchange rate fees or price differences based on location (e.g. exchange rates).
We may store and continue billing your payment method (e.g. credit card) even after it has expired to avoid interruptions to your services and to use it to pay for other services you have purchased.
If you purchase a subscription, your payment method will automatically be charged at the beginning of each subscription period for the applicable fees and taxes for that period. To avoid future fees, cancel before your renewal date. Learn how to cancel or suspend your premium services.
All your purchases/sales of Services are subject to TRADEFOOX' refund policy.
We may calculate the taxes you pay based on the billing information you provide to us at the time of purchase/sale.

You can obtain a copy of your invoice via your TRADEFOOX account settings under “Purchase Summary”.

2.4 Notes and Messages

You agree that we can send you notices and messages via our websites, apps and contact information. If your contact information is out of date, you may miss important communications.

You agree that we may provide notices and messages to you in the following ways: (1) within the service or (2) to the contact information that you have provided (e.g. email, mobile phone number, physical address). You agree to keep your contact information up tp date.

Please review your settings to control and limit the messages you receive from us.

2.5 Share

When you share information through our services, others may see, copy and use that information.

Our services allow you to send messages and share information in a variety of ways, including through your profile, articles, group posts, links to news articles, job postings, messages and E-Mails. Information and content that you share or publish may be seen by other members, visitors or other people (including outside of the services). If we have provided settings, we take into account the decisions you make about who can see content or information (e.g. send message content to your recipients, share content only with TRADEFOOX connections, limit the visibility of your profile in search engines, or choose not to receive notifications). By default, we do not notify your network or the public of job search activities. So if you apply for a position using our service or would like to signal your interest in a position,

We are under no obligation to post any information or content on our service and may remove it with or without notice.

3.3. Rights and Boundaries

You own all content, feedback and personal information that you provide to us, but you also grant us a non-exclusive license to do so.

We respect the choices you make about who can see your information and content, including how it may be used for ads.

As between you and TRADEFOOX, you own the content and information that you submit or post to the services, and you only grant TRADEFOOX and our affiliates the following non-exclusive license:

A worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish information and content you provide through our services and the services of others without further consent, notice and/or compensation to you or others and to process. These rights are limited as follows:

You may terminate this license for certain content by deleting that content from the services or generally by closing your account, except (a) to the extent that you have shared it with others on the service and they copy it again shared or stored and (b) for the reasonable time necessary to remove it from backup and other systems.

We will not include your content in advertisements for third-party products and services (including sponsored content) without your specific consent. However, we have the right to display advertisements near your content and information without payment to you or others, and your social actions may be visible and included in advertisements as specified in the privacy policy. When you use a service feature, we may include your name or photo to promote that feature within our services, depending on your settings.

We obtain your consent if we want to give others the right to publish your content beyond the services. However, if you share your post as “Public, for everyone, or similar”, we enable a feature that allows other members to embed that public post in third-party services, and we enable search engines to make that public content discoverable. While we may edit your content and make formatting changes to it (e.g., translating or transcribing it, changing the size, layout or file type, or removing metadata), we will not change the meaning of the expression.
Because your content and information belongs to you and we only have non-exclusive rights to it, you may choose to make it available to others, including under a Creative Commons license.

You and TRADEFOOX agree that content containing personal information is subject to our privacy policy.

You and TRADEFOOX agree that we may access, store, process and use any information and personal data you provide in accordance with the terms of the privacy policy and your choices (including settings).

By submitting suggestions or other feedback about our services to TRADEFOOX, you agree that TRADEFOOX may (but is not required to) use and share such feedback for any purpose without compensation to you.

You agree to only provide content or information that does not violate the law or the rights of others (including intellectual property rights). You also agree that your profile information will be truthful. TRADEFOOX may be required by law in certain countries to remove certain information or content.

3.2 Service Availability

We may modify or discontinue any service or change our prices in the future.

We may change, suspend or discontinue our services. We may also change our prices with effect for the future to the extent permitted by law with reasonable notice.

We do not guarantee that we will permanently store or continue to display the information and content you post. TRADEFOOX is not a storage service. You agree that we have no obligation to store, maintain, or provide you with a copy of any content or information you or others provide, except to the extent required by law and as set forth in our privacy policy.

3.3 Other Content, Websites and Apps

Your use of other people's content and information posted on our services is at your own risk.

Others may offer their own products and services through our services, and we are not responsible for these third-party activities.

By using the services, you may encounter content or information that may be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. TRADEFOOX generally does not review content provided by our members or others. You agree that we are not responsible for the content or information of others (including other members). We cannot always prevent such misuse of our services and you agree that we are not responsible for such misuse. You also acknowledge the risk that you or your organization may be falsely associated with content about others if we inform contacts and followers that you or your organization have been mentioned in the news. Members have a choice in this role.

TRADEFOOX can help connect members offering their services (career coaching, accounting, etc.) with members seeking services. TRADEFOOX does not provide these services or employ people to do so. You must be at least 18 years of age to offer, provide or procure these services. You acknowledge that TRADEFOOX does not supervise, direct, control or monitor members in the provision of these services and agree that (1) TRADEFOOX is not responsible for the offering, performance or procurement of these services and (2) TRADEFOOX makes no specific recommendations and (3) nothing constitutes an employment, agency or joint venture relationship between TRADEFOOX and any member offering services. If you are a member offering services, you represent and warrant that you have all necessary licenses and that your services will be provided in accordance with the professional community guidelines.

Likewise, TRADEFOOX can help you register for and/or participate in member-organized events and connect with other members participating in such events. You agree that (1) TRADEFOOX is not responsible for the conduct of members or other participants at such events, (2) TRADEFOOX does not endorse any specific event listed on our services, (3) TRADEFOOX does not conduct reviews and/or any of these events and (4) that you comply with the terms and conditions applicable to these events.

3.4 Boundaries

We have the right to limit the way you connect and/or interact with our services.

TRADEFOOX reserves the right to limit your use of the services, including the number of your connections and your ability to contact other members. TRADEFOOX reserves the right to restrict, suspend or terminate your account if you violate this agreement or the law or misuse the services (e.g. by violating the “Dos and Don'ts“ or professional community guidelines).

3.5 Intellectual Property Rights

We inform you about our intellectual property rights.

TRADEFOOX reserves all of its intellectual property rights in the services. Trademarks and logos used in connection with the services are the trademarks of their respective owners. TRADEFOOX and “In” logos, as well as other TRADEFOOX trademarks, service marks, graphics and logos used on our services are trademarks or registered trademarks of TRADEFOOX.

3.6 Automated Processing

We use data and information about you to make relevant suggestions to you and others.

We use the member information and data you provide and that we have to make recommendations for connections, content, and features that may be useful to you. For example, we use data and information about you to recommend jobs to you. Keeping your profile accurate and up to date helps us make these recommendations more accurate and relevant. Learn more

4. Disclaimer and Limitation of Liability

4.1 No Warranty

This is our disclaimer of liability for the quality, safety or reliability of our Services.

TRADEFOOX and its affiliates make no representations or warranties regarding the services, including any warranty that the services will be uninterrupted or error-free, and provide the services (including content and information) on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, TRADEFOOX and its affiliates disclaim all warranties, implied or statutory, including any implied warranties of title, accuracy, non-infringement, merchantability, or fitness for a particular purpose.

4.2 Disclaimer

These are the limits of the legal liability we may have to you.

To the maximum extent permitted by law (and to the extent TRADEFOOX has not entered into a separate written agreement that supersedes this agreement), TRADEFOOX and its affiliates disclaim any liability for loss of profits or business opportunity, injury to reputation (e.g., offensive or abusive language), loss of data (e.g., downtime or loss of or changes to your information or content) or any indirect, incidental, consequential or punitive damages in connection with this agreement.

TRADEFOOX and its affiliates shall not be liable to you in connection with this agreement for an amount exceeding (A) the total amount of fees paid or payable by you to TRADEFOOX during the term of this agreement, if any, or (B) EUR 1,000.

4.3 Basis of Business; Exclusions

The limitations of liability in this Section 4 are part of the agreement between you and TRADEFOOX and apply to all claims of liability (e.g., warranty, tort, negligence, contract and statute), even if TRADEFOOX or its affiliates have been advised of the possibility of such damage, even if such remedies fail of their essential purpose.

These limitations of liability do not apply to liability for death or personal injury, or for fraud, gross negligence or willful misconduct, or in cases of negligence resulting in a breach of an essential duty, which is an essential duty that is a prerequisite for our delivery services and on which you can reasonably rely, but only to the extent that the damages were directly caused by the breach of contract and were foreseeable at the time of entering into this contract and to the extent that they are typical within the scope of this contract.

5. Termination

Either of us may terminate this agreement, but some rights and obligations will remain.

Either you or TRADEFOOX may terminate this agreement at any time by notifying the other party. Upon termination, you will lose your right to access or use the services. The following will survive termination:

Our rights to use and disclose your feedback;
Rights of members and/or visitors to further distribute content and information you have shared via the services;
Sections 4, 6, 7 and 8.2 of this agreement;
All amounts owed by either party prior to termination will remain due after termination.

6. Governing Law and Dispute Resolution

In the unlikely event that we become involved in a legal dispute, you and TRADEFOOX agree, depending on where you live, to resolve it in courts in Germany, under German law or in your local courts under local law.

If you live in the specified countries, the laws apply to all claims relating to TRADEFOOX' provision of the services. However, this does not mean that you are deprived of the mandatory consumer protection under the law of the country to which we refer your services and in which you use ordinary services. With regard to jurisdiction, you and TRADEFOOX agree, for all disputes arising out of or in connection with this user agreement, you can choose the courts of the country to which we forward your services, in which you have your habitual residence, or alternatively you can choose the responsible person in relation to a German court.

For others outside the specified countries, including those residing outside of the United States: You and TRADEFOOX agree that any dispute relating to this agreement and/or shall be governed exclusively by the laws of the State of California, excluding its conflict of law provisions or the services. You and TRADEFOOX each agree that all claims and disputes may be litigated only in the federal or state courts located in Santa Clara County, California, USA, and you and TRADEFOOX each consent to the personal jurisdiction of such courts.

7. General Terms and Conditions (GTC)

Here you will find some important details about the contract.

If a court having jurisdiction over this agreement finds any part of it to be unenforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do so, you and we agree to ask the court to remove that unenforceable part and still enforce the remainder of this agreement.

This agreement (including any additional terms and conditions that may be provided by us when you use a feature of the aervices) is the sole agreement between us in relation to the aervices and supersedes all prior agreements relating to the aervices.

Our failure to act to enforce a breach of this agreement will not mean that TRADEFOOX has waived its right to enforce this agreement. You may not assign or transfer this agreement (or your membership or use of the services) to any third party without our consent. However, you agree that TRADEFOOX may assign this agreement to its affiliates or any party purchasing it without your consent. There are no third party beneficiaries of this agreement.

You agree that the only way to provide legal notice to us is at the address set forth in Section 10.

8. TRADEFOOX „Dos and Don'ts“

TRADEFOOX is a community of private users, professionals, entrepreneurs and clubs. This list of “Do's and Don'ts“ and our professional community guidelines limit what you can and cannot do on our services.

8.1. DOS

You agree that you:

comply with all applicable laws, including without limitation data protection laws, intellectual property laws, anti-spam laws, export control laws, tax laws and regulatory requirements.
provide us with accurate information and keep it up to date.
use your real name in your profile, and
use the services we provide in a professional manner.

8.2. Bans

You agree that you will not:

Do not create a false identity on TRADEFOOX, misrepresent your identity, create a member profile for anyone other than yourself (a real person), or use or attempt to use another person's account;
Develop, support or use any software, devices, scripts, robots or other means or processes (including crawlers, browser plug-ins and add-ons or other technologies) to extract or otherwise copy profiles and other data from the services;
Override security features or bypass or circumvent any access controls or usage limitations of the service (e.g., caps on keyword searches or profile views);
Copy, use, disclose or distribute any information obtained through the services, whether directly or through third parties (e.g. search engines), without TRADEFOOX' consent;
Disclose information that you do not have consent to disclose (e.g., confidential information of others (including your employer));

Infringe the intellectual property rights of others, including Copyright, patent, trademark, trade secret or other proprietary rights. For example, do not copy or distribute others' contributions or other content (other than through the available sharing functionality) without their permission, which they may grant by posting under a creative commons license;

Infringe TRADEFOOX' intellectual property or other rights, including without limitation copying or distributing third-party materials or copying or distributing our technology unless released under open source licenses; using the word “TRADEFOOX” or our logos in a company name, email address or URL, except as provided in the brand guidelines;

Do not post anything that contains software viruses, worms or other malicious code.
Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the services or any related technology that is not open source;
Implie or state that you are affiliated with or endorsed by TRADEFOOX without our express consent (e.g., by representing yourself as an accredited TRADEFOOX employee);
Rent, lease, loan, trade, sell/resell or otherwise monetize or access the services or related data without TRADEFOOX' consent;
Deep link to our services for any purpose other than promoting your profile or a group on our services without TRADEFOOX' consent;
Do not use bots or other automated methods to access the services, add or download contacts, send or redirect messages;
Do not monitor the availability, performance or functionality of the services for competitive purposes;
Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the services;
Overlay or otherwise alter the services or their appearance (for example, by incorporating elements into the services or removing, covering or obscuring any advertising contained on the services);
Interfere with the operation of the services or impose an unreasonable burden on them (e.g. spam, denial of service attack, viruses, gaming algorithms); and / or
Do not violate the professional community guidelines or any additional terms for a particular service that will be provided when you sign up for or begin using that service, as well as the Bing Maps terms, if applicable.

We respect the intellectual property rights of others. We require that information posted by members is accurate and does not infringe the intellectual property rights or other rights of third parties. We provide a policy and procedure for complaints regarding content posted by our members.

11. Additional Terms for Payments via PayPal and Stripe

11.1 Payment Processing by Third Parties

TRADEFOOX offers various payment methods, including PayPal and Stripe. All payments made through these providers are subject to their own terms of use and privacy policies. TRADEFOOX does not collect payment information itself but redirects you to the respective providers for the payment process. The following terms apply:

PayPal: Payments processed via PayPal are subject to the PayPal Terms of Use, available at www.paypal.com.
Stripe: Payments processed via Stripe are subject to the Stripe Terms of Use, available at www.stripe.com.

TRADEFOOX does not have access to or store your payment information. All transactions are processed by the payment service providers.

11.2 Payment Terms

When using PayPal or Stripe, you are responsible for ensuring that the payment method you provide has sufficient funds.
All transactions are final and non-refundable unless there is a proven error or a legitimate claim.
TRADEFOOX reserves the right to review and, if necessary, cancel certain transactions in case of suspected fraud or misuse.
Additional fees (e.g., currency exchange fees or credit card surcharges) may be charged by PayPal or Stripe. TRADEFOOX is not responsible for these costs.

11.3 Refunds and Cancellations

Payments can only be refunded in accordance with TRADEFOOX’s refund policies and the conditions of the payment providers.
If you experience issues with payments or unauthorized charges, please contact the respective payment provider (PayPal or Stripe) directly.
Cancellation of subscriptions or one-time payments is possible via account settings or customer support.

11.4 Security and Privacy

PayPal and Stripe use highly secure encryption methods to protect your financial data.
TRADEFOOX does not store sensitive payment data such as credit card numbers or bank account information.
In case of unauthorized transactions, you should immediately contact the payment provider.

11.5 Responsibility and Liability

TRADEFOOX is not liable for delays or malfunctions in payment processing caused by PayPal or Stripe.
All disputes related to payment processing must be resolved directly with the respective payment provider.
TRADEFOOX may suspend or deactivate accounts if there is a suspicion of fraud related to payments.
